Terms of Service
Welcome to PRISM
These Terms of Service ("Terms") govern your access to and use of PRISM (Production Resource & Information System for Media), a screenplay collaboration and production management platform operated by talw.media LLC ("talw.media," "we," "us," or "our").
By creating an account, accessing, or using PRISM, you agree to be bound by these Terms. If you do not agree to these Terms, do not use PRISM.
1. Definitions
- "Content" means any screenplays, scripts, treatments, outlines, annotations, notes, comments, or other materials you upload, create, or share through PRISM.
- "Service" means the PRISM platform, including all features, tools, and functionality.
- "User," "you," or "your" refers to the individual or entity accessing or using the Service.
- "AI Features" means any functionality that uses artificial intelligence or machine learning, including but not limited to draft generation, screenplay enhancement, and evaluation tools.
2. Account Registration and Eligibility
2.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use PRISM. By using the Service, you represent that you meet these requirements.
2.2 Account Creation
You may register for an account using OAuth authentication through supported providers (e.g., Google). You are responsible for:
- Providing accurate account information
- Maintaining the security of your account credentials
- All activities that occur under your account
2.3 Account Security
You must notify us immediately at [email protected] if you believe your account has been compromised.
3. Your Content
3.1 Ownership
You retain all ownership rights to the Content you create and upload to PRISM. We do not claim ownership of your screenplays, scripts, or other creative works.
3.2 License to talw.media
By uploading Content to PRISM, you grant talw.media a limited, non-exclusive, worldwide, royalty-free license to:
- Store, process, and display your Content to you and users you authorize
- Create backups of your Content for service continuity
- Process your Content through AI features you choose to use
- Aggregate anonymized, non-identifiable data for service improvement
This license exists solely to operate and improve the Service. We will not sell, publish, or distribute your Content to third parties without your explicit consent.
3.3 Content Responsibilities
You represent and warrant that:
- You own or have the necessary rights to all Content you upload
- Your Content does not infringe any third party's intellectual property rights
- Your Content does not violate any applicable law or regulation
- Your Content does not contain malicious code or harmful material
3.4 Prohibited Content
You may not upload, share, or create Content that:
- Infringes copyrights, trademarks, or other intellectual property
- Contains illegal material or promotes illegal activities
- Harasses, threatens, or defames others
- Contains malware, viruses, or harmful code
- Violates any applicable law or regulation
4. AI Features and Third-Party Services
4.1 AI-Assisted Features
PRISM offers AI-powered features including draft generation, screenplay enhancement, character analysis, and quality evaluation. These features are provided to assist your creative process, not replace it.
4.2 Third-Party AI Providers
AI features may be powered by third-party providers including OpenAI, Anthropic, and Google. When you use AI features:
- Your Content may be processed by these third-party services
- Third-party provider terms and privacy policies also apply
- We use commercially available AI APIs and do not train models on your Content
4.3 Bring Your Own Key (BYOK)
If you provide your own API keys for AI services:
- You are responsible for compliance with that provider's terms
- Your usage is subject to your agreement with that provider
- talw.media is not responsible for charges incurred on your accounts
4.4 AI Output Limitations
You acknowledge that:
- AI-generated content may require review and editing
- AI outputs may not be eligible for copyright protection under current law
- You are responsible for reviewing AI outputs before use
- AI features are tools to assist, not replace, human creativity
5. Collaborative Features
5.1 Organizations and Productions
PRISM allows you to create organizations, productions, and collaborate with others. When you invite others to your workspace:
- You control access levels and permissions
- You are responsible for managing who has access to your Content
- Collaborators may view, edit, or comment on Content you share with them
5.2 Annotations and Comments
Annotations and comments you create may be visible to others based on the visibility settings you choose (personal, department, production, or global).
6. Subscription and Payment
6.1 Pricing
PRISM offers free and paid subscription tiers. Current pricing is available at the pricing page. We reserve the right to modify pricing with 30 days' notice.
6.2 Payment Processing
Payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.
6.3 Refunds
Refund requests are handled on a case-by-case basis. Contact [email protected] for refund inquiries.
7. Acceptable Use
7.1 Permitted Use
You may use PRISM for lawful screenplay creation, production management, and collaboration purposes.
7.2 Prohibited Activities
You may not:
- Violate any applicable law or regulation
- Infringe intellectual property rights
- Attempt to gain unauthorized access to the Service or other accounts
- Interfere with or disrupt the Service
- Use automated means to access the Service without permission
- Reverse engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without authorization
- Use the Service to develop competing products
8. Intellectual Property
8.1 talw.media IP
PRISM, including its design, features, and underlying technology, is owned by talw.media LLC. You may not copy, modify, or create derivative works of the Service.
8.2 Feedback
Any feedback, suggestions, or ideas you provide about the Service become the property of talw.media. We may use, modify, and incorporate feedback without obligation of compensation or attribution.
9. Privacy and Data Protection
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. DMCA and Copyright
10.1 DMCA Notices
If you believe Content on PRISM infringes your copyright, submit a DMCA takedown notice to:

10.2 Repeat Infringers
We will terminate accounts of users who repeatedly infringe copyrights.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALW.MEDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless talw.media and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, your Content, your violation of these Terms, or your violation of any third party's rights.
14. Term and Termination
14.1 Termination by You
You may terminate your account at any time by contacting [email protected] or using account deletion features in the Service.
14.2 Termination by Us
We may suspend or terminate your account at any time for violation of these Terms, conduct harmful to other users or the Service, or any other reason at our sole discretion.
14.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We recommend exporting your Content before terminating your account.
15. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and sending an email notification for significant changes. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
16. General Provisions
16.1 Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles.
16.2 Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Salt Lake City, Utah, under the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.
16.3 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and talw.media regarding the Service.
16.4 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

BY CREATING AN ACCOUNT OR USING PRISM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
